I don't think ou should have any big issues except for drivers. Before upgrading I'd look for and download XP drivers for your video, modem, sound, and network cards. I find XP as being one of the better Windows OS's much better then ME. When you get XP and all the drivers that need updating installed restart it a few times and then get all the Windows updates. Don't try the new Vista. It is very processor and memory hungry and not as user friendly.
